By accessing or using the legal services of Cardinal Law, P.A., operating under the trade name “Contractor Counsel” (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

Cardinal Law, P.A. is a Florida law firm providing legal services to Florida contractors, including:

  • Legal document preparation and contract drafting
  • Legal consultations and attorney advice
  • Construction law compliance guidance
  • Business formation and licensing assistance

3. Attorney-Client Relationship

ATTORNEY-CLIENT RELATIONSHIP

Cardinal Law, P.A. Legal Services: When you engage our services, you establish an attorney-client relationship with Cardinal Law, P.A. All communications are protected by attorney-client privilege and governed by Florida Bar rules of professional conduct.

4. Scope of Legal Services

Our Legal Services Include:

  • Legal document preparation and contract drafting
  • Attorney consultations and legal advice
  • Florida construction law guidance
  • Business compliance and licensing assistance
  • Contract review and negotiation support

Service Limitations:

  • Services limited to Florida construction law
  • Complex litigation may require specialized counsel
  • No guarantee of specific legal outcomes
  • Emergency situations require immediate attorney consultation
  • Services provided only to Florida contractors

5. Eligibility and User Requirements

To use our Service, you must:

  • Be at least 18 years old
  • Be a licensed contractor in Florida
  • Provide accurate and complete information
  • Maintain the confidentiality of your account
  • Comply with all applicable laws and regulations

6. Subscription Plans and Billing

Plan Details:

  • Basic ($149/month): 1 document per month, phone consultations
  • Pro ($299/month): 3 documents per month, priority support
  • Elite ($599/month): Unlimited documents, dedicated support

Billing Terms:

  • Subscriptions automatically renew monthly or annually
  • Payment processed through Stripe at the beginning of each billing cycle
  • Price changes require 30 days advance notice
  • No refunds for partial months except as required by law

7. Document Usage Limits

  • Document limits reset monthly on your billing date
  • Letter of Engagement does not count toward monthly limits
  • Unused documents do not roll over to the next month
  • Exceeding limits requires plan upgrade or additional fees

8. User Information and Accuracy

You are responsible for:

  • Providing complete and accurate information
  • Updating information when circumstances change
  • Reviewing documents carefully before approval
  • Understanding the legal implications of your documents

9. Professional Standards

Licensed Florida Law Firm

Cardinal Law, P.A. operates as a licensed Florida law firm in full compliance with Florida Bar regulations and professional conduct rules.

Our attorneys:

  • Are licensed and in good standing with the Florida Bar
  • Maintain professional liability insurance
  • Follow Florida Bar rules of professional conduct
  • Provide legal services under firm supervision
  • Maintain continuing legal education requirements
  • Operate under Florida Bar disciplinary oversight

10. Limitation of Liability

IMPORTANT LIABILITY LIMITATIONS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDINAL LAW, P.A.’S LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR LEGAL SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Professional Responsibility

  • Each attorney maintains individual professional liability insurance
  • Attorney conduct is governed by Florida Bar disciplinary rules
  • Complaints about attorney conduct should be filed with the Florida Bar
  • Attorney-client privilege applies to communications with reviewing attorneys

12. Work Product and Intellectual Property

  • Legal documents prepared for you become your property upon completion
  • Legal templates and forms remain property of Cardinal Law, P.A.
  • You grant us license to use aggregated, anonymized data for service improvement
  • You may not redistribute or resell our legal templates or services

13. Cancellation and Termination

You May:

  • Cancel your subscription at any time through your account
  • Continue using services through the end of your billing period
  • Request document delivery for pending requests

We May Terminate Service If:

  • You violate these Terms
  • You provide false or misleading information
  • Payment fails or account becomes delinquent
  • You use services for unlawful purposes

14. Dispute Resolution

Florida Law Governs:

These Terms are governed by Florida law. Any disputes must be resolved in Florida courts.

Mandatory Arbitration:

Most disputes must be resolved through binding arbitration in Tampa, Florida, except for small claims court matters under $5,000.

15. Privacy and Data Protection

Your privacy is protected under our Privacy Policy. Key points:

  • We collect only information necessary for service delivery
  • Information is shared only with reviewing attorneys and essential service providers
  • You have rights to access, correct, and delete your information
  • Attorney communications are protected by attorney-client privilege

16. Compliance Requirements

Florida Contractor Requirements:

  • You must maintain valid Florida contractor license
  • You are responsible for compliance with all Florida construction laws
  • Documents do not guarantee legal compliance
  • You should consult additional legal counsel for complex matters

17. Service Modifications

We may modify our services with reasonable notice. Material changes affecting your subscription will be communicated at least 30 days in advance.

18. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technology failures.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
